Affiliate Program Terms

1. About these terms

1. These terms are an agreement between you (the "affiliate") and Sestante Analytics AG, Freiburgstrasse 3, 3010 Bern, Switzerland ("Enhance-d", "we", "us"). They cover the Enhance-d Affiliate Program (the "Program").
2. You accept these terms by agreeing to them on the sign-up page we send you. Your link starts working once you have. If you are signing up for a business, you confirm you are authorised to agree to these terms on behalf of the business.
3. We may change these terms. We will email you at least 30 days before a change takes effect. Commission already earned is always paid under the terms in force when the charge was made. If you don't accept a change, you can leave the Program (section 9).
4. You must be at least 18 to join.

2. Joining and your link

1. Joining is by invitation or application, and we decide who joins. We may turn down an application without giving a reason.
2. Once approved, you get a unique code and a link: https://app.enhance-d.com/a/YOURCODE. That link is the only way a referral is counted. Codes typed elsewhere, links to the App Store or Google Play, and links to other Enhance-d pages do not count.
3. During a campaign we may give you a campaign link, for example https://app.enhance-d.com/a/YOURCODE?offer=wdd50. It shows the campaign price and still counts as your referral. When the campaign ends, the same link shows the standard offer.
4. One affiliate account per person or business. Keep your payout details up to date; we are not responsible for a payment sent to details you gave us. For any changes, please email henry@enhance-d.com.

3. How referrals are counted

A customer is your referral when they open your link and then subscribe to Enhance-d Pro on the web, as someone new to Pro.

1. 30-day window. Opening your link sets a cookie in that browser for 30 days. If the person signs in and subscribes on the web within that time, from your link or later from any Enhance-d web page, they are your referral.
2. First link wins. If someone opens another affiliate's link or a member's invite first, they belong to that first link. A customer can only ever be one affiliate's referral, and that never changes.
3. New to Pro only. Someone who has had Enhance-d Pro before, or is subscribed now, is not a referral.
4. Web purchases only. Only subscriptions bought through Enhance-d's web checkout count. Purchases in the App Store or Google Play never earn commission, even from someone who opened your link.
5. No self-referrals. Your own account, accounts you control, and people in your household do not count.
6. Cookies and privacy settings. If the visitor blocks cookies, clears them, or switches browser or device before signing in, we may not be able to count them. We can't add referrals by hand.
7. While you are paused. If we pause your account (section 9), people who sign up during the pause are not your referrals. Referrals you already have keep earning you commission as normal.

4. Commission

You earn your commission rate on what each referral actually pays, excluding VAT and sales tax, on their first 12 paid months of Enhance-d Pro.

1. Rate. Your rate is a percentage we agree with you in writing, and it can differ between affiliates. It is shown on your statements. If we agree a new rate with you, it applies to charges made from then on.
2. What it is worked out on. The price the customer paid after any discount, minus VAT or sales tax. Card fees are not deducted.
3. Free trials earn nothing. Commission starts with the first paid charge.
4. 12 paid months. Monthly plans earn on the first 12 monthly charges. A yearly plan earns on its first yearly charge, which covers all 12 months. If a customer pays monthly and then switches to yearly, the yearly charge earns for the months left of the 12 (for example, 3 months paid, then yearly: 9/12 of the yearly charge).
5. Refunds and chargebacks. A refunded or charged-back payment earns nothing, and any commission on it is taken back. That month still counts as one of the 12.
6. Currency. Charges in other currencies are converted to Swiss francs at the European Central Bank reference rate for the day of the charge.

5. Payment

Commission becomes payable 30 days after each charge, and we pay what is payable once a month, in Swiss francs, when it reaches CHF 50.

1. 30-day hold. Each line of commission is pending for 30 days after the customer's charge, so refunds can come through first. After that it is payable.
2. Monthly payout. At the end of each month we total what became payable during that month, and pay it by bank transfer within 30 days of the month end.
3. CHF 50 minimum. If your payable balance is under CHF 50, it carries over to the next month until it reaches CHF 50. If you leave the Program, a balance under CHF 50 is paid with your final payout.
4. Refunds after payout. If a payment we have already paid commission on is refunded later, the commission becomes a negative amount taken off your next payouts. We never ask you to pay money back, unless the refund comes from fraud or a breach of these terms (section 8).
5. Statements. We email you a statement each month showing your referrals, charges, commission and payout.
6. Tax and invoices. You are responsible for your own income tax, VAT and social charges. Commission amounts in these terms include any VAT or similar tax you have to charge us: if you are VAT registered, the VAT is part of the amount we pay, not added on top. If you are VAT registered, send us a valid VAT invoice for each payout.
7. Bank fees. We pay our own bank's fees. Fees charged by your bank, or for converting the payment into another currency, are yours.

6. How you may promote Enhance-d

Say clearly, every time, that you earn from your link, and describe Enhance-d and its prices accurately.

1. Disclose the relationship in every post. Put a clear label where people see it before they click, such as "#ad", "Ad" or "I earn commission if you subscribe through my link". Use the platform's paid-partnership tool too where it has one. A note only in your bio or at the end of a long caption is not enough. Follow the advertising rules where your audience is, such as the UK CAP Code and ASA guidance, the US FTC Endorsement Guides, and the EU and Swiss rules on unfair commercial practices.
2. Prices and offers. Quote prices and offers as they appear on our pages, with their limits (for example "for new subscribers, on the web, first year only"). Don't promise anything we don't offer, or say an offer runs longer than it does.
3. Your own opinion. Say only what you honestly think, and only about features you have used or that we have told you about.
4. Our name and logo. You may use the Enhance-d name, logo and screenshots we provide, unchanged, to promote the Program. Don't present yourself as Enhance-d or as speaking for us.
5. Not allowed: paid search ads on "Enhance-d" or misspellings of it, spam (unsolicited email, messages or comments), coupon or deal sites unless we agree it, incentives to click (paying people or giving prizes for using your link), and putting your link anywhere aimed at under-18s.
6. Content we ask you to change. If we ask you to correct or remove content about Enhance-d, do it within 5 working days.

7. Health claims

Enhance-d helps people see their glucose, insulin, sleep and activity in one place. Never say or suggest that it treats, cures, prevents or diagnoses anything, or that it replaces medical advice.

1. Talk about what the app does. Fine: "I can see my glucose next to my runs", "it shows how my sleep lines up with my overnight numbers". Not fine: "it lowers your HbA1c", "you'll need less insulin", "it stops hypos", "it's better than your clinic's software".
2. Your experience is yours. If you share your own results, say they are your own, that people differ, and that the changes came from what you did, not from the app.
3. No dosing or treatment advice in content that mentions Enhance-d, including insulin doses, carb ratios or changes to medication. Point people to their diabetes team.
4. Medical status. Enhance-d is not a medical device and isn't meant for diagnosis or treatment decisions. Don't describe it as "medical", "clinical", "approved" or "certified" unless we have told you in writing that it is.
5. Other brands. You may say which devices and apps Enhance-d connects to, as listed on our site. Don't suggest those companies endorse Enhance-d or you.

8. Prohibited conduct and fraud

Any attempt to earn commission that isn't from a genuine new customer choosing Enhance-d loses that commission and may end your membership.

1. Not allowed: fake or duplicate accounts, buying through your own link, paying or rewarding people to subscribe and then cancel, forcing or faking clicks or cookies, hiding your link, and anything that breaks the law or these terms.
2. If we reasonably believe a referral or charge comes from fraud or a breach, we may hold the commission while we look into it, cancel it, and take back commission already paid on it, by deducting it from later payouts or asking you to repay it.
3. We will tell you what we found and give you 14 days to reply before we make a final decision, unless the law or an investigation stops us.

9. Pausing and ending

1. Pausing. We may pause your account, for example while we look into a concern or while you take a break. While you are paused your link takes visitors to our standard page, new sign-ups are not your referrals, and referrals you already have carry on earning you commission.
2. Ending. Either of us can end your membership at any time, for any reason, with immediate effect, by email: you to henry@enhance-d.com, us to the email address you gave us.
3. After it ends. Charges made after the end date earn nothing, including charges from referrals you already have. Commission on charges made before the end date is still paid under section 5, once its 30-day hold has passed, including any balance under CHF 50. If your membership ends because of a breach of these terms, unpaid commission connected to the breach is cancelled.
4. Ending the Program. If we close the Program for everyone, we will tell you by email and pay the commission on charges made up to the closing date under section 5.

10. Legal basics

1. You work independently. You are not our employee, agent or partner, and you can't make promises or sign anything for Enhance-d.
2. Our records decide. Referrals, charges and commission are as recorded in our systems and our payment provider's. If you think something is wrong, tell us within 60 days of the statement and we will check it.
3. Personal data. We don't share customers' names or contact details with you; statements show counts and amounts only. Your own data is handled under our privacy policy at https://www.enhance-d.com/privacy-policy.
4. Liability. Our total liability to you under these terms is limited to the commission paid or payable to you in the 12 months before the claim. Neither of us is liable for indirect loss. Nothing here limits liability that the law doesn't allow to be limited.
5. Your content. You are responsible for what you publish and agree to cover our costs if a claim arises from your content breaking these terms or the law.
6. Governing law. These terms are governed by Swiss law, and the courts of Bern, Switzerland have jurisdiction, unless the law where you live gives you a right to bring a claim there.
